APPLICATION FOR REGISTRATION OF EMISSIONS OFFSETS ON THE GLOBAL EMISSIONS EXCHANGE and
SALES CONTRACT for CARBON EMMISSIONS CREDIT POINTS™ (“CECI”)
I hereby apply for participation in the Global Emissions Exchange (“GEX”) Carbon Emissions Credits System™. By registering my product or products (“Property and/or Projects”), I am applying for Carbon Credit Points™, which may be available to me in exchange for my transfer of all right and title associated with the emissions offset value of my Property and/or Project(s).
By accepting the terms of this Agreement when I click the “I Accept” option, I hereby transfer such title associated with all registered products or projects and further attest that I hold full legal title free from liens and encumbrances to the Property and/or Project(s) herby registered as GEX Offsets. In electronically accepting and singing this Agreement, I presently and until the end of time assign all of my right and title associated with the emissions offset value of my Property and/or Projects to the GEX and acknowledge that the GEX, in its sole discretion, will calculate all emissions offsets (Verified and/or Unverified) and eligibility for Carbon Credit Points (“CCP”) in accordance with the GEX Offset Rules or any other such rules that may apply currently or that the GEX may implement in the future. I further agree that I will abide by the GEX Offset Rules and the GEX Eligibility Regulations as they pertain to CCPs and the conditions for Aggregation Participation.
Now, therefore, the GEX agrees to accept the transfer of and I agree to sell and deliver the emissions offset value, if any, of my Property and/or Project(s) specified herein, as to be determined through Verified and/or Unverified measurements as defined by the GEX Offset Rules, and whereby GEX Offsets may be created for the life of the Property and/or Project(s) specified in this Agreement.
Terms and Conditions
By registering Property and/or Projects with the GEX Offsets program (“Program”), each Property and/or Project owner agrees to and acknowledges that s/he will comply fully with the following Terms and Conditions in relation to the Property and/or Project(s).
1. The enrolled Property and/or Projects meet all applicable eligibility rules of the GEX.
2. Signing of this Application shall constitute a full transfer of all legal rights associated with the mitigation of greenhouse gases and/or any other emissions that relate to the GEX Offsets that are established through fulfillment of the Terms of this Agreement.
3. The GEX makes no warranty as to the marketability or market value of GEX Offsets and/or Carbon Credit Instruments (“CCIs”). The creation and value of any and all CCIs by GEX Offsets is at the sole discretion of the GEX.
4. Representatives of the GEX may verify and determine through cross-referencing of sales receipts, serial numbers, universal product codes (“UPCs”), or any other methods or means available to the GEX, the validity and characteristics of Verified or Unverified Property registered with the GEX. In addition, GEX representatives may request supporting documentation or reasonable site visits with regard to any Project(s) registered. Each Project owner agrees to provide such access in a prompt and cooperative manner. All GEX Offsets Property, Projects, and/or project reports and/or verification reports are subject to inspection and audit by the provider of regulatory services designated by the GEX and/or by other independent experts as may be engaged by the GEX, which may include governmental and/or quasi-governmental agencies.
5. The GEX may request additional information and/or access to registered Projects for the purpose of advancing understanding of emissions / greenhouse gas mitigation.
6. The GEX may in its sole discretion aggregate, i.e. combine the value and properties of emissions offsets transferred by related and/or unrelated transferees, for purposes of creating CCIs that may benefit some or all of such transferees.
7. Failure to conform to the Terms and Conditions provided herein, which include by reference the GEX Offset Rules and the GEX Eligibility Regulations, may result in termination of enrollment in the GEX and prohibition from all further participation in the GEX and/or forfeiture of title to the emissions offset value of Property and/or Projects registered at the GEX’s sole discretion.
